1. Introduction

These Terms & Conditions ("Terms") govern your access to and use of the Ruma Travel website, platform, and all associated services, features, tools, and functionality (together, the "Platform"), operated by Ruma Travel Ltd ("Ruma", "we", "us", or "our").

By accessing, browsing, registering with, or otherwise using the Platform in any manner, you confirm that you have read, understood, and agree to be legally bound by these Terms in full. These Terms constitute a legally binding agreement between you and Ruma and apply to all users of the Platform, including visitors, registered users, and any individual or entity interacting with the Platform.

If you do not agree to these Terms in their entirety, you must not access or use the Platform. Continued use of the Platform shall constitute acceptance of these Terms as they may be updated from time to time.

Ruma reserves the right to amend, update, or modify these Terms at any time to reflect changes in the Platform, applicable law, or business practices. Where such changes are material, Ruma may, at its discretion, provide notice via the Platform or by electronic communication, including email where available. It is your responsibility to review these Terms periodically to ensure that you are aware of any updates. Continued access to or use of the Platform following any such changes shall constitute your acceptance of the revised Terms.

2. Company Information

The Platform is operated by Ruma Travel Ltd, a company incorporated and registered in England and Wales under company number 16638082, with its registered office at 167--169 Great Portland Street, 5th Floor, London, England, W1W 5PF.

All references in these Terms to "Ruma", "we", "us", or "our" shall be construed as references to Ruma Travel Ltd. References to "you" or "your" shall be construed as references to the individual or entity accessing or using the Platform.

For any questions, concerns, or notices relating to these Terms or the Platform, you may contact us at support@rumatravel.co.uk. Ruma may communicate with you electronically, including via email or through the Platform, and such communications shall be deemed to satisfy any legal requirement for written communication.

3. Definitions and Interpretation

In these Terms, unless the context otherwise requires, the following definitions shall apply.

The term "Platform" shall include the Ruma website, any associated mobile or web applications, underlying software, algorithms, data processing systems, user interfaces, and all features, tools, content, and services made available by Ruma.

The term "User", "you", or "your" refers to any individual or entity accessing, browsing, or using the Platform in any capacity, whether as a guest or a registered account holder.

The term "Third-Party Providers" refers to any external entities whose services, data, or functionality are integrated into or linked from the Platform, including but not limited to airlines, travel search platforms, loyalty programme operators, and data providers.

The term "Content" includes all information, data, text, graphics, interfaces, recommendations, valuations, outputs, and other material displayed or generated by the Platform.

Headings used in these Terms are for convenience only and shall not affect interpretation. Words in the singular shall include the plural and vice versa. Any phrase introduced by the term "including" or similar expressions shall be construed as illustrative and shall not limit the generality of the preceding words.

4. Eligibility and Authority

By accessing or using the Platform, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into a binding agreement under the laws of England and Wales.

Where you access or use the Platform on behalf of a company, organisation, or other legal entity, you further represent and warrant that you have the authority to bind that entity to these Terms and that such entity agrees to be bound by them.

Ruma shall not be liable for any unauthorised use of the Platform by individuals who do not meet these requirements. Where it becomes apparent that a user does not meet the eligibility criteria set out in this section, Ruma reserves the right to restrict, suspend, or terminate access to the Platform without notice.

5. Nature and Scope of the Platform

The Platform provides a technology-driven comparison and optimisation service designed to assist users in evaluating flight options using a combination of cash pricing data and loyalty points redemption information. The Platform generates outputs, including but not limited to recommendations, comparative valuations, indicative pricing insights, and suggested booking approaches, based on a combination of user-provided inputs, proprietary models and methodologies, and data obtained from third-party sources.

The Platform is intended solely as a decision-support tool. It does not provide travel services, booking services, or any form of brokerage, agency, or intermediary function. Ruma does not act as a travel agent, airline, tour operator, or booking provider and does not arrange, sell, or supply flights, tickets, or travel products.

All outputs generated by the Platform are indicative in nature and are based on assumptions, system logic, and third-party data. Such outputs are not guaranteed to be accurate, complete, or reflective of real-time market conditions. You acknowledge that the Platform is designed to assist with decision-making but does not replace your responsibility to independently verify all relevant information before entering into any transaction.

Ruma reserves the right to modify, enhance, suspend, or discontinue any aspect of the Platform, including its functionality, data sources, or underlying logic, at any time without notice.

6. No Booking or Contractual Relationship

Where the Platform provides links, redirects, or references to third-party providers, including airlines or travel booking platforms, any booking or transaction is entered into directly between you and the relevant third party. Ruma is not a party to any such transaction and does not act as an agent, intermediary, or representative of either the user or the third-party provider.

Ruma does not process payments, issue tickets, confirm reservations, or provide post-booking support. All aspects of any booking, including pricing, availability, payment processing, ticket issuance, changes, cancellations, and customer support, are handled exclusively by the third-party provider.

You acknowledge that any contractual relationship arising from a booking exists solely between you and the third-party provider and is governed by that provider's terms and conditions. Ruma accepts no responsibility or liability for any aspect of such transactions, including but not limited to pricing errors, booking failures, cancellations, changes in itinerary, or disputes arising between you and the third-party provider.

You further acknowledge that Ruma shall not be liable for any loss arising from your decision to enter into a transaction with a third-party provider, whether based on information presented on the Platform or otherwise.

Ruma does not guarantee that any pricing, availability, or offer displayed on the Platform will be available at the time of booking.

7. Third-Party Services, Data, and Availability

The Platform relies extensively on integrations with third-party providers, including but not limited to Kayak and Odynn, as well as airlines, loyalty programme operators, and other external data sources. These third parties operate independently of Ruma and are solely responsible for the provision, accuracy, and availability of their respective services and data.

You expressly acknowledge and agree that all data displayed on the Platform, including but not limited to flight availability, reward seat inventory, pricing, taxes, surcharges, and redemption requirements, is sourced from third parties and may be inaccurate, incomplete, outdated, delayed, cached, or otherwise subject to change at any time without notice. The Platform may display data that differs materially from that available at the point of booking due to latency, caching mechanisms, technical limitations, or changes made by third-party providers after the data has been retrieved.

Ruma does not verify, audit, or validate third-party data and makes no representation or warranty as to its accuracy, completeness, reliability, or timeliness. To the fullest extent permitted by law, Ruma accepts no liability for any discrepancies between the information presented on the Platform and the information available from third-party providers at the time of booking, nor for any loss arising from reliance on such information.

You further acknowledge that third-party services may experience interruptions, outages, rate limits, or other technical issues that may affect the availability or performance of the Platform. Ruma shall not be liable for any interruption, delay, error, or failure in the operation of the Platform arising from or related to third-party systems, including but not limited to API outages, system downtime, data feed interruptions, or changes in third-party services.

In addition, Ruma shall not be responsible for any loss, damage, or inconvenience arising from the withdrawal, modification, or unavailability of any third-party service integrated into the Platform.

8. Affiliate Relationships and Commercial Positioning

Ruma may receive compensation from third-party providers in connection with user interactions with the Platform, including but not limited to link clicks, referrals, and completed bookings. Such compensation may be in the form of commissions, referral fees, or other commercial arrangements.

You acknowledge that the existence of such commercial relationships may influence the presentation, ordering, prominence, or visibility of certain results on the Platform. In particular, certain providers or offers may be prioritised or displayed more prominently due to commercial considerations.

Ruma does not represent or warrant that the Platform provides a complete, unbiased, or exhaustive comparison of all available options in the market. Not all airlines, routes, pricing options, or loyalty redemption opportunities may be included in the Platform's results.

Notwithstanding the above, Ruma aims to provide useful and relevant information to users, but you acknowledge that the Platform operates within a commercial framework and that results may be influenced by factors beyond purely objective criteria.

Ruma may prioritise, rank, or exclude results based on commercial arrangements with third-party providers.

9. User Accounts and Security

In order to access certain features of the Platform, you may be required to create a user account. Where you choose to create an account, you agree to provide information that is accurate, complete, and kept up to date at all times. You further agree not to impersonate any person or entity or misrepresent your identity or affiliation when registering for or using the Platform.

You are solely responsible for maintaining the confidentiality and security of your account credentials, including your username and password, and for restricting access to your account. You agree that all activities carried out under your account shall be deemed to have been carried out by you, whether or not such activities were authorised.

Ruma shall not be liable for any loss, damage, or unauthorised activity arising from your failure to maintain the security of your account credentials. You agree to notify Ruma promptly if you become aware of any unauthorised use of your account or any breach of security.

Ruma reserves the right, at its sole discretion, to suspend, restrict, or terminate your account without notice where it reasonably believes that there has been unauthorised access, misuse of the Platform, breach of these Terms, or any activity that may pose a risk to the Platform, its users, or its third-party partners.

10. Acceptable Use and Restrictions

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You must not use the Platform in any manner that is fraudulent, unlawful, abusive, or otherwise harmful to Ruma, its systems, its users, or its partners.

Without limitation, you agree that you shall not attempt to gain unauthorised access to any part of the Platform, its underlying systems, or any data stored within it. You must not interfere with, disrupt, or attempt to compromise the integrity, security, or performance of the Platform or any related systems or networks.

You must not scrape, extract, harvest, or otherwise collect data from the Platform using automated or manual means, including but not limited to bots, crawlers, scripts, or scraping tools. You must not use the Platform to develop, train, or support any competing product or service, or to replicate its functionality or outputs.

You must not introduce any viruses, malware, or other harmful material into the Platform, nor attempt to exploit any vulnerabilities in the Platform or its underlying infrastructure.

Ruma reserves the right to investigate any suspected breach of this section and to take appropriate action, including restricting access, suspending accounts, or pursuing legal remedies where necessary.

You must not use the Platform or its outputs for the purpose of training, developing, or enhancing any machine learning, artificial intelligence, or automated decision-making systems.

11. System Integrity, API Usage, and Fair Use

You acknowledge that the Platform relies on complex systems and third-party infrastructure, including external APIs and data services, to deliver its functionality. Such systems are subject to technical limitations, capacity constraints, and cost considerations.

You agree not to use the Platform in a manner that places excessive or unreasonable load on its systems or that may result in disproportionate usage of third-party services. This includes, without limitation, repeated or automated queries, high-frequency usage patterns, or any activity that may result in increased operational costs or system instability.

Ruma reserves the right to monitor usage patterns and to determine, in its sole discretion, whether usage is excessive, abnormal, or abusive. Where such usage is identified, Ruma may implement technical measures including rate limiting, request throttling, temporary restrictions, or permanent suspension of access.

You acknowledge that such measures are necessary to maintain the integrity, performance, and sustainability of the Platform and that Ruma shall not be liable for any loss arising from the imposition of such restrictions.

12. User Inputs, Loyalty Data, and Valuation Risk

The Platform allows users to input data, including but not limited to loyalty programme balances, travel preferences, and other criteria. All such data is provided by users and is not independently verified by Ruma. You acknowledge that the accuracy, completeness, and timeliness of such data is your sole responsibility.

You further acknowledge that the outputs generated by the Platform, including valuations of loyalty points and recommendations regarding the use of cash or points, are inherently uncertain and based on a combination of assumptions, proprietary models, historical data, and third-party inputs.

Loyalty programme rules, redemption rates, pricing structures, taxes, surcharges, and availability of reward seats are determined exclusively by third-party providers and are subject to change at any time without notice. As a result, the actual value or availability of a redemption may differ materially from that indicated by the Platform.

Ruma makes no representation or warranty that any valuation, comparison, or recommendation reflects the actual or achievable value of loyalty points at the time of booking. To the fullest extent permitted by law, Ruma disclaims all liability for any loss arising from inaccuracies in user inputs, changes in third-party data, or differences between estimated and actual outcomes.

You acknowledge that any decision to redeem loyalty points or proceed with a booking is made at your own risk and based on your own independent assessment.

13. No Advice and No Reliance

All information, content, comparisons, valuations, recommendations, and outputs provided on the Platform are for general informational purposes only. The Platform does not provide financial advice, travel advice, investment advice, or any other form of professional advice, and nothing on the Platform should be construed as such.

The Platform operates based on generalised assumptions, user-provided inputs, proprietary models, and third-party data sources. It does not take into account your individual financial situation, personal circumstances, objectives, risk tolerance, or preferences beyond the information you input into the Platform. As a result, the outputs generated may not be suitable or appropriate for your specific circumstances.

You acknowledge and agree that you are solely responsible for evaluating the accuracy, completeness, and relevance of any information provided on the Platform. You further acknowledge that you must independently verify all information, including pricing, availability, and redemption details, directly with third-party providers before making any booking or transactional decision.

You expressly acknowledge and agree that you have not relied, and will not rely, on any representation, warranty, statement, or recommendation made by Ruma when entering into any transaction with a third-party provider. To the fullest extent permitted by law, Ruma shall not be liable for any loss or damage arising from or in connection with your reliance on any information, content, or output generated by the Platform.

14. Licence to Use the Platform

Subject to your compliance with these Terms, Ruma grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for your personal, non-commercial use.

This licence does not grant you any rights to reproduce, distribute, modify, adapt, translate, reverse engineer, decompile, disassemble, or otherwise exploit any part of the Platform or its underlying systems, except to the extent expressly permitted by applicable law.

You must not use the Platform for any commercial purpose without the prior written consent of Ruma. In particular, you must not use the Platform to develop, market, or operate any competing service or to extract data or insights for commercial gain.

Ruma reserves the right to revoke or suspend this licence at any time, without notice, where it reasonably believes that your use of the Platform is in breach of these Terms or otherwise harmful to the Platform, its users, or its partners.

15. Intellectual Property Rights

All intellectual property rights in and to the Platform, including but not limited to its software, algorithms, data structures, design, layout, user interface, branding, content, and functionality, are owned by or licensed to Ruma Travel Ltd and are protected by applicable intellectual property laws.

Nothing in these Terms shall be construed as transferring any ownership rights to you. You are granted only a limited right to access and use the Platform in accordance with these Terms.

You must not copy, reproduce, distribute, publish, display, transmit, or otherwise exploit any part of the Platform without the prior written consent of Ruma, except as strictly necessary for your personal use of the Platform.

You further agree not to remove, obscure, or alter any copyright notices, trademarks, or other proprietary notices displayed on the Platform.

16. Feedback

If you provide Ruma with any feedback, suggestions, ideas, or other information relating to the Platform ("Feedback"), you acknowledge and agree that such Feedback is provided on a non-confidential basis and may be used by Ruma without restriction.

You hereby grant Ruma a perpetual, irrevocable, worldwide, royalty-free licence to use, reproduce, modify, adapt, publish, and otherwise exploit any Feedback for any purpose, including the development, improvement, and marketing of the Platform.

You further agree that you shall not be entitled to any compensation, payment, or acknowledgment in relation to any use of such Feedback by Ruma.

17. Suspension and Termination

Ruma reserves the right, at its sole discretion and without prior notice, to suspend, restrict, or terminate your access to the Platform, including your user account, where it reasonably believes that you have breached these Terms, engaged in misuse of the Platform, or where your continued access may pose a risk to the Platform, its users, or its third-party partners.

Such action may be taken without liability to you and without prejudice to any other rights or remedies available to Ruma. Ruma shall not be required to provide any justification or explanation for the suspension or termination of access, although it may choose to do so at its discretion.

You acknowledge that suspension or termination of access may result in the loss of access to any data, features, or functionality associated with your account, and Ruma shall not be liable for any such loss.

Ruma further reserves the right to suspend or discontinue the Platform, in whole or in part, at any time without notice, including where required due to technical, commercial, or regulatory reasons. Ruma shall not be liable for any loss or damage arising from such suspension or discontinuation.

Ruma shall have no obligation to retain, store, or provide access to any data associated with your account following suspension or termination.

18. Disclaimer of Warranties

The Platform is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Ruma makes no representations, warranties, or guarantees of any kind, whether express, implied, statutory, or otherwise, in relation to the Platform or any content provided through it.

Without limitation, Ruma expressly disclaims all warranties of accuracy, completeness, reliability, timeliness, availability, performance, fitness for a particular purpose, merchantability, and non-infringement. Ruma does not warrant that the Platform will meet your requirements or expectations, that it will operate without interruption, that it will be free from errors or defects, or that any defects will be corrected.

Ruma makes no representation or warranty that the Platform, its servers, or any data transmitted through it are free from viruses, malware, or other harmful components. You acknowledge that your use of the Platform is at your own risk and that you are responsible for implementing appropriate safeguards to protect your systems and data.

You further acknowledge that the Platform may contain inaccuracies, errors, or omissions, including in relation to third-party data, pricing, availability, or recommendations, and that such issues may not be identified or corrected by Ruma.

You acknowledge that the Platform may be unavailable, incomplete, or subject to errors at any time and that Ruma has no obligation to ensure continuous availability or accuracy.

19. Limitation of Liability

To the fullest extent permitted by law, Ruma shall not be liable for any indirect, incidental, special, consequential, or economic loss arising out of or in connection with your use of, or inability to use, the Platform.

Such excluded losses include, without limitation, loss of profits, loss of revenue, loss of opportunity, loss of data, loss of goodwill, wasted expenditure, and any losses arising from business interruption or loss of anticipated savings.

Ruma shall not be liable for any loss arising from or related to the use of third-party services, including but not limited to errors in third-party data, unavailability of flights or reward seats, changes in pricing, cancellation of bookings, or failures of third-party systems.

Ruma shall not be liable for any loss arising from reliance on any information, recommendation, valuation, or output provided on the Platform, whether such loss arises in contract, tort (including negligence), misrepresentation, or otherwise.

Ruma's liability shall also be excluded in respect of any loss arising from unauthorised access to your account, misuse of the Platform, or failure to comply with these Terms.

Nothing in these Terms shall exclude or limit liability where such exclusion or limitation is not permitted by law, including liability for death or personal injury caused by negligence or for fraud or fraudulent misrepresentation.

To the fullest extent permitted by law, Ruma's total aggregate liability to you, whether arising in contract, tort (including negligence), misrepresentation, or otherwise, shall not exceed £100 or, where applicable, the total amount paid by you to Ruma in the 12 months preceding the event giving rise to the claim.

20. Indemnity

You agree to indemnify, defend, and hold harmless Ruma Travel Ltd, together with its directors, officers, employees, affiliates, and agents, from and against any and all claims, liabilities, damages, losses, costs, and expenses, including legal fees, arising out of or in connection with your use of the Platform, your breach of these Terms, your violation of applicable laws or regulations, or any data, content, or information you provide through the Platform.

This indemnity shall apply whether the claim arises directly or indirectly and shall extend to any third-party claims made against Ruma as a result of your actions or omissions.

Ruma reserves the right, at your expense, to assume the exclusive defence and control of any matter subject to indemnification by you, and you agree to cooperate fully with such defence. You must not settle any such claim without the prior written consent of Ruma.

The obligations set out in this section shall survive termination of your access to or use of the Platform.

21. Assignment

Ruma may, at any time and without obtaining your consent, assign, transfer, charge, subcontract, delegate, declare a trust over, or otherwise deal in any manner with any or all of its rights and obligations under these Terms, including in connection with any internal reorganisation, financing, sale of assets, merger, acquisition, or other corporate transaction.

You may not assign, transfer, charge, subcontract, delegate, declare a trust over, or otherwise deal in any manner with any of your rights or obligations under these Terms without the prior written consent of Ruma. Any purported assignment, transfer, or other dealing in breach of this section shall be null and void and of no legal effect.

This restriction is intended to ensure that Ruma is able to control access to and use of the Platform and to preserve the integrity of the contractual relationship created by these Terms.

22. Entire Agreement

These Terms constitute the entire agreement between you and Ruma in relation to your access to and use of the Platform and supersede and extinguish all prior and contemporaneous agreements, representations, statements, negotiations, assurances, understandings, or arrangements between you and Ruma, whether written or oral, relating to the same subject matter.

You acknowledge and agree that, in entering into these Terms, you have not relied upon, and shall have no remedy in respect of, any statement, representation, assurance, or warranty that is not expressly set out in these Terms, save that nothing in this section shall limit or exclude liability for fraud or fraudulent misrepresentation.

This section is intended to ensure that the contractual relationship between you and Ruma is governed solely by the express wording of these Terms and not by any informal communications, marketing materials, expectations, or understandings not expressly incorporated into them.

23. Waiver

No failure, delay, or omission by Ruma in exercising any right, power, privilege, or remedy provided under these Terms or by law shall operate as a waiver of that right, power, privilege, or remedy, nor shall any single or partial exercise of any such right, power, privilege, or remedy prevent or restrict any further exercise of that or any other right, power, privilege, or remedy.

Any waiver by Ruma of any breach of these Terms shall be effective only if given expressly and in writing, and any such waiver shall apply only to the specific breach and circumstances for which it is given. No waiver shall be deemed a waiver of any subsequent breach or default.

You acknowledge that Ruma's decision not to enforce any provision on one occasion shall not prevent it from enforcing the same or any other provision at any other time.

24. Severability

If any provision of these Terms, or any part of any provision, is found by any court or other competent authority to be invalid, unlawful, or unenforceable, that provision or part-provision shall, to the extent required, be deemed modified to the minimum extent necessary to make it valid, lawful, and enforceable while preserving its commercial intent as far as possible.

If such modification is not possible, the relevant provision or part-provision shall be deemed deleted. Any modification to or deletion of a provision or part-provision under this section shall not affect the validity, legality, and enforceability of the remaining provisions of these Terms, which shall continue in full force and effect.

The parties intend that the provisions of these Terms shall be severable so that the enforceability of the agreement as a whole is preserved even if one or more provisions are found to be defective.

25. Force Majeure

Ruma shall not be liable for any failure to perform, or delay in performing, any of its obligations under these Terms to the extent that such failure or delay results from events, circumstances, or causes beyond its reasonable control. Such events may include, without limitation, failures of telecommunications networks, internet outages, interruptions to hosting infrastructure, failures or delays of third-party systems or APIs, cyber-attacks, malicious acts by third parties, labour disputes, acts of government, regulatory intervention, changes in applicable law, or any other event outside Ruma's reasonable control.

Where such an event occurs, Ruma's affected obligations shall be suspended for the duration of the relevant event, and the time for performance shall be extended accordingly. Ruma shall be entitled to take such steps as it considers reasonably necessary to mitigate the effects of the event, including suspending or modifying access to parts of the Platform.

You acknowledge that, given the Platform's reliance on third-party infrastructure and data providers, events of this kind may materially affect functionality, availability, and performance, and that Ruma shall not be liable for any resulting loss, damage, delay, or inconvenience.

26. Governing Law and Jurisdiction

These Terms, and any dispute, controversy, proceedings, or claim of whatever nature arising out of or in any way in connection with them or their subject matter or formation, including any non-contractual disputes or claims, shall be governed by and construed in accordance with the laws of England and Wales.

You and Ruma irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to determine any dispute or claim arising out of or in connection with these Terms or the use of the Platform. You waive any objection to proceedings being brought in such courts on the grounds of venue, forum non conveniens, or otherwise, to the extent permitted by law.

This section is intended to provide certainty as to the legal framework applicable to the relationship between you and Ruma and to ensure that disputes are determined in a single, clearly defined jurisdiction.

27. No Partnership or Agency

Nothing in these Terms is intended to, or shall be deemed to, establish any partnership, joint venture, agency, employment, fiduciary, or other similar relationship between you and Ruma.

You acknowledge that you have no authority to act on behalf of Ruma, to bind Ruma in any way, to make representations on Ruma's behalf, or to incur any liability or obligation in Ruma's name. Ruma does not authorise you to hold yourself out as its agent, representative, or partner under any circumstances.

The relationship between you and Ruma is solely that of an independent user of the Platform pursuant to these Terms, and nothing in these Terms shall be interpreted as creating any other legal relationship.
